What is Equity Token?
An equity token is a token that is legally a share or an economic interest in a company — a security, issued under securities law, with an identified issuer, disclosure obligations, and usually a transfer agent maintaining the holder register. It is not a utility token, and a fan token is never one.

What makes a token an equity token
Three things: the instrument confers ownership or economic rights in an issuer, it is offered under a securities regime or a documented exemption, and transfers are restricted to eligible holders — typically enforced on-chain through a permissioned standard such as ERC-3643. The wrapper matters less than the legal characterisation: an equity token is a security first and a token second.
