Fan token vs equity token
SportFi desk · explainer
Same club, different instrument
A fan token buys votes, rewards and access in an app, and is priced by fan demand. An equity token is an economic interest in a club, sold under securities law. The price chart is the one place you cannot tell them apart.
Side by side
| Fan token | Equity token | |
|---|---|---|
| What you hold | A licence to take part: app votes, rewards, access | An economic interest in an entity that holds club shares |
| In law | A crypto-asset used for engagement; not a security | A security: transfer limits, eligibility checks, disclosure |
| What moves the price | Fan demand: derbies, transfers, tournaments | A valuation policy and cash flows, after fees |
| Where it trades | Exchanges, the Socios app, thinly on Chiliz Chain | A permissioned book with eligibility gates (announced path) |
| Dividends or a club vote | Never | Only what the wrapper passes through |
| How it hurts you | Utility is switched off; a treasury move dominates the tape | Fee drain, a related-party entry price, the stake sold from under you |
| Status today | Live and trading | Announced, not offered |
1 · The legal wrapper: what is the claim?
A fan token is a licence to take part. US guidance in 2026 places it with digital collectibles and engagement tools, and Socios runs its European fan-token business under a MiCA authorisation. Nowhere in that stack is a claim on the club: no dividend, no liquidation preference, no vote at the general meeting. The “votes” are app polls on kits and warm-up songs.
An equity token is a security first and a token second. Whether it is a look-through share or a unit in a vehicle that holds the stake, the law attaches transfer limits, eligibility checks and disclosure duties. The token standard does not decide the class; the wrapper does.
2 · Economics: what moves the price?
Fan token: demand for access. Supply is fixed per club; demand rises with derbies, transfers and tournaments, then leaks away. The chart is a sentiment gauge, not a valuation.
Equity token: a valuation policy. Once offered, a reference value must be published, and the price answers to cash flows, the fees in the waterfall and the related-party spread. That is a fund question, not a fan question.
The tell: an instrument with a price but no valuation policy is not equity yet, whatever the headline says.
3 · Venue: where does it trade?
Fan tokens trade in the Socios app, on exchanges and thinly on Chiliz Chain; the chain desk shows the split. Anyone with an exchange account can buy one.
The equity token's announced path is a permissioned book under the EU DLT Pilot Regime, with eligibility gates and transfer controls. Same crest, different door.
4 · Failure mode: how does each one hurt you?
- Fan token: utility can be switched off, the club can leave the platform, and a treasury or exchange move can dominate the tape. You lose access value, not a claim.
- Equity token: a league rejects a holder, or the vehicle drains fees, sets a related-party entry price, or sells the stake out from under you.
- Both: mistaking one for the other. The fan token will never pay you; the equity token will never let you vote on the kit.
What settles it
The first offering memo answers everything above: issuer and jurisdiction, the legal form, the fee waterfall, the valuation agent, voting, transfer limits, league consents, redemption, and whether $CHZ plays any role at all. Until then the equity token stays announced, not offered, and the fan tokens stay utility tokens.
