What is Transfer Agent?
A transfer agent is the regulated record-keeper of who owns a security. It maintains the official holder register, processes issuance, transfers and redemptions, and administers corporate actions. In tokenized markets the transfer agent is what makes an on-chain ledger the legal book of record rather than a mirror of one held elsewhere.

The role in a tokenized issue
The agent onboards holders, records ownership, and reconciles the register against the chain. Securitize, an SEC-registered transfer agent, performs this function for tokenized funds including BlackRock's BUIDL, and is named in the announced Socios equity-token work. Without a transfer agent an on-chain holder list is a database; with one it is the register a regulator and a court recognise.
Why it decides what the token can do
Corporate actions, forced transfers under a court order, lost-key recovery and dividend payment all route through the agent's authority. It is also why permissioned standards exist: the agent needs the power to block a transfer that would break the register's compliance rules, and a plain ERC-20 cannot enforce that.

Is a transfer agent the same as a custodian?
No. A custodian holds assets; a transfer agent maintains the record of who owns the security. A tokenized product usually needs both.
Why does a tokenized security need a transfer agent?
Because ownership of a security has to be recorded somewhere a regulator recognises. The agent makes the on-chain register that record and administers the corporate actions attached to it.
