The single biggest unlock for compliant tokenised equities in the US just took a real step forward — a market-structure bill that finally defines what a digital security is, and how to issue one legally.
Markets watched a single vote in a wood-panelled Senate Banking room last Tuesday and saw the future of tokenised securities in the United States shift from theory to procedure. The CLARITY Act — the market-structure bill that for years has lived in white-papers and lobbyist memos — cleared the committee 14-9, with a bipartisan core of yes votes.
What CLARITY actually defines
The bill draws bright lines that the SEC has spent five years drawing in pencil: it formalises the definition of a 'digital commodity', a 'digital security', and the registration path issuers can use without forcing every tokenised wrapper into the same custodial mould. For tokenised equities specifically, it creates a usable safe-harbour for issuers who attest reserves, publish proof-of-reserve feeds, and use registered transfer agents.
Mark Andreessen called it 'the single most important piece of US crypto-market legislation since the JOBS Act'. He's not wrong — but the more interesting read is that the bill anticipates tokenised equities specifically, not just stablecoins or DeFi.
We don't need new laws — we need clarity on the ones we have. This bill is that clarity.
What it doesn't do
CLARITY isn't a green light for synthetic wrappers. The bill explicitly carves out 'tokens claiming representation of off-chain assets without verifiable backing' from its safe-harbour — meaning the Chainlink Proof-of-Reserve push is now legally relevant, not just technically.
The bill heads to the full Senate floor next month. Markups are expected, but the operative language on tokenised equities is the most polished section — that's where the lobbying has been concentrated.
If CLARITY passes substantially intact, every tokenised US equity wrapper currently relying on a Reg S exemption gets a clean Reg D path with a far broader investor base. The market structure that's been waiting for permission finally gets it.
